Version 2.0 · Effective 2026-09-05 · See also our Privacy Policy.
By clicking "Create account," authenticating via Google or GitHub, or otherwise accessing or using the Verety platform (the "Service"), you agree to be bound by this Agreement in its entirety. If you are agreeing on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case "Client," "you," and "your" refer to that entity. If you do not agree, do not create an account or use the Service. Continued use of the Service after a revision to these Terms (Section 15.2) constitutes binding acceptance of the revised Terms.
This Agreement is between you ("Client") and Verety Inc., a Delaware corporation ("Verety," "we," "us"). Notices to Verety should be sent to legal@verety.ai or through the contact form linked from verety.ai/pricing.
"Service" means the Verety entity-intelligence and counterparty-screening platform, including the web application, API, MCP server, and accompanying documentation. "Client Data" means any data you submit to the Service, including search queries, uploaded evidence documents, and account information. "Entity Data" means the third-party registry, sanctions, watchlist, adverse-media, and public-record information the Service surfaces about a counterparty you investigate — sourced from third parties, not created by Verety. "Personal Data" has the meaning given by applicable data protection law (e.g. the EU/UK GDPR, the California Consumer Privacy Act) and is further addressed in our Privacy Policy (verety.ai/privacy). "Authorized User" means an individual you permit to access the Service under your account. "Subscription Plan" means the tier (Free, Starter, Growth, Enterprise, or a custom Enterprise arrangement) describing your usage limits and fees, as published at verety.ai/pricing or set out in an order form.
This Agreement begins when you first accept it and continues until terminated under Section 14. There is no minimum commitment on the Free, Starter, or Growth plans — you may stop using the Service and close your account at any time. An Enterprise arrangement may specify its own term in a signed order form, which controls over this Section where the two conflict.
5.1 Account Security. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly of any suspected unauthorized use. Verety is not liable for loss arising from your failure to safeguard your credentials. 5.2 License. Subject to this Agreement and timely payment of applicable fees, Verety grants you a non-exclusive, non-transferable, worldwide license, for the term of this Agreement, to access and use the Service for your own internal business purposes — including counterparty screening, KYB/compliance checks, fraud detection, supply-chain and vendor risk review, and investment or partnership due diligence. 5.3 Use Restrictions. You will not: (a) reverse-engineer, decompile, or disassemble the Service; (b) build or assist a third party in building a product that competes with the Service; (c) use the Service to harass, unlawfully discriminate against, or make an adverse decision about an individual in violation of applicable law; (d) use Service output to train, develop, or improve a competing machine-learning or AI model without Verety's prior written consent; (e) circumvent rate limits, security controls, or access restrictions, or otherwise place unreasonable load on the Service; (f) resell or redistribute raw Service output as a competing data product without a separate written agreement; (g) attempt to gain unauthorized access to the Service or introduce malicious code; or (h) remove or obscure any proprietary notice on the Service. 5.4 Client Responsibilities. You are responsible for: (a) complying with all laws applicable to your own use of the Service, including data protection and AML/KYC obligations that remain yours, not Verety's, to satisfy; (b) obtaining any notices or consents required before submitting a third party's personal data to the Service for screening; and (c) the accuracy and legality of the Client Data you submit.
6.1 Verety's Ownership. Verety (and its licensors) retain all right, title, and interest in the Service, including its underlying software, models, scoring methodology, and design. No ownership is transferred to you — only the license in Section 5.2. 6.2 Client Data. You retain ownership of your Client Data. You grant Verety a worldwide, non-exclusive, royalty-free license to process Client Data solely to provide the Service to you and, in aggregated or de-identified form only, to improve Verety's entity-resolution and risk models, consistent with our Privacy Policy (verety.ai/privacy). 6.3 Feedback. If you send Verety feedback or suggestions about the Service, you grant Verety an unrestricted, royalty-free, perpetual license to use it for any purpose, without obligation or compensation to you.
Fees are billed according to your Subscription Plan as published at verety.ai/pricing or a signed Enterprise order form. Fees are billed in advance and, except as required by law or expressly stated in an order form, are non-refundable. Verety may change Subscription Plan pricing prospectively with the advance notice described in Section 15.2; a change does not apply retroactively to a billing period already paid for. Published prices exclude applicable taxes. If a payment fails and is not cured within a reasonable period after notice, Verety may suspend or terminate access under Section 14.
Each party will protect the other's non-public Confidential Information disclosed under this Agreement with at least the same degree of care it uses for its own confidential information of a similar nature, and never less than reasonable care. This obligation does not apply to information that is or becomes public through no fault of the receiving party, was already lawfully known to it, or is independently developed. A party may disclose Confidential Information if legally compelled, giving the other party notice first where legally permitted. This Section survives termination for five (5) years, and indefinitely for trade secrets.
Verety's processing of Personal Data in connection with the Service is described in our Privacy Policy (verety.ai/privacy), which is incorporated into this Agreement by reference. Where you submit a third party's Personal Data to the Service (for example, screening a counterparty's officers), you are responsible for having a lawful basis to do so and for providing any notices that third party is owed under applicable law — Verety acts on your instructions with respect to that data and is not a party to your relationship with that third party.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. VERETY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. VERETY DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR CURRENCY OF ANY THIRD-PARTY REGISTRY, SANCTIONS, WATCHLIST, MEDIA, OR PUBLIC-RECORD DATA SURFACED THROUGH THE SERVICE. A RESULT RETURNED BY THE SERVICE — INCLUDING ANY RISK SCORE, COMPLIANCE FLAG, OR NARRATIVE SUMMARY — IS PROVIDED FOR INFORMATIONAL PURPOSES ONLY TO SUPPORT YOUR OWN DECISION-MAKING. IT IS NOT LEGAL, COMPLIANCE, FINANCIAL, OR INVESTMENT ADVICE, AND IS NOT ITSELF EVIDENCE OF WRONGDOING OR OF ITS ABSENCE. YOU ARE SOLELY RESPONSIBLE FOR YOUR OWN DECISIONS BASED ON, OR MADE NOTWITHSTANDING, VERETY'S RESULTS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING FROM THIS AGREEMENT OR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. EACH PARTY'S TOTAL LIABILITY ARISING OUT OF THIS AGREEMENT WILL NOT EXCEED THE FEES YOU PAID VERETY IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. These limits do not apply to: (a) a party's fraud, gross negligence, or willful misconduct; (b) your payment obligations under Section 7; (c) either party's indemnification obligations under Section 12; or (d) liability that cannot lawfully be limited.
12.1 By You. You will defend, indemnify, and hold harmless Verety and its officers, employees, and agents from third-party claims arising from: your breach of this Agreement; your violation of applicable law in your use of the Service; a claim that Client Data you submitted infringes a third party's rights; or a decision you made based on, or despite, a Service result. 12.2 By Verety. Verety will defend, indemnify, and hold harmless you from a third-party claim that the Service, used in accordance with this Agreement, directly infringes that third party's patent, copyright, or trademark — excluding claims arising from your combination of the Service with something not provided by Verety, or your use of a modified or outdated version of the Service. 12.3 Procedure. The indemnified party must promptly notify the indemnifying party in writing, allow it to control the defense and settlement (which may not impose non-monetary obligations without the indemnified party's consent), and provide reasonable assistance at the indemnifying party's expense.
Each party represents that it has full legal authority to enter this Agreement and will comply with applicable law in performing it. You additionally represent that all Client Data you submit is accurate, lawfully obtained, and that you have the right to submit it. Verety additionally represents that it will provide the Service in a professional manner consistent with prevailing industry standards.
14.1 For Convenience. You may stop using the Service and close your account at any time. Verety may terminate a Free, Starter, or Growth plan for convenience with thirty (30) days' notice; an Enterprise arrangement's own termination terms control if they conflict with this Section. 14.2 For Cause. Either party may terminate immediately if the other materially breaches this Agreement and fails to cure within thirty (30) days of written notice, or becomes insolvent. Verety may also suspend or terminate immediately, without a cure period, for a serious or repeated violation of Section 5.3 (Use Restrictions), unlawful or fraudulent use, non-payment, or where necessary to protect the security or integrity of the Service. 14.3 Effect of Termination. On termination, your license under Section 5.2 ends immediately, and you must stop using the Service. Sections that by their nature should survive — including Intellectual Property, Confidentiality, Disclaimers, Limitation of Liability, Indemnification, and Governing Law — survive termination.
15.1 Force Majeure. Neither party is liable for a delay caused by events beyond its reasonable control (e.g. natural disaster, war, pandemic, internet or infrastructure outage, governmental action). 15.2 Modifications. Verety may update this Agreement or the Privacy Policy from time to time. We will make reasonable efforts to notify active accounts at least thirty (30) days before a material change takes effect, through the Service or by email. If you disagree with a change, you may terminate before it takes effect; continued use after that date is acceptance. 15.3 Assignment. You may not assign this Agreement without Verety's prior written consent. Verety may assign this Agreement to an affiliate or in connection with a merger, acquisition, or sale of assets. 15.4 Severability & No Waiver. If a provision of this Agreement is found unenforceable, the remaining provisions stay in effect. A party's failure to enforce a right is not a waiver of it. 15.5 Governing Law and Jurisdiction. This Agreement is governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in Sussex County, Delaware, except where applicable law grants a consumer mandatory protections of their own jurisdiction that cannot be waived. 15.6 Entire Agreement. This Agreement, together with any order form and our Privacy Policy, is the entire agreement between the parties regarding the Service and supersedes any prior discussions or agreements on the subject. 15.7 Relationship of the Parties. The parties are independent contractors. Nothing in this Agreement creates a partnership, joint venture, or agency relationship. 15.8 Export Compliance. You represent that neither you nor your Authorized Users are subject to sanctions or export-control restrictions that would prohibit your use of the Service. 15.9 Publicity. Verety may identify you as a customer (name and logo) in its marketing materials and customer list, unless you notify us in writing that you object.
Questions about these Terms, or a written objection under Section 15.9, can be sent to legal@verety.ai or through the contact form linked from verety.ai/pricing.
